These documents reflect ECFC’s commitment to fair play, privacy, and community. By using ECFC’s platforms you agree to these terms.

1. Acceptance of Terms

These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Everest Charlotte Football Club (“ECFC,” “the Club,” “we,” “our,” or “us”), a sports organization domiciled and operating in Charlotte, Mecklenburg County, North Carolina.

By accessing, browsing, registering for, or otherwise using the ECFC website and any related digital platforms, applications, or services (collectively, the “Services”), you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Services.

These Terms apply to all visitors, registered account holders, content contributors, and any other persons who access or use the Services in any capacity.

2. Definitions

  • “Account” means a registered user profile created by you to access restricted features of the Services.
  • “Club Content” means all text, graphics, images, audio, video, data, match reports, statistics, schedules, scores, photographs, trademarks, trade dress, logos, and other materials created by or on behalf of ECFC and published on the Services.
  • “User Content” means any content, data, text, photographs, comments, or other materials submitted, posted, uploaded, or transmitted by you through the Services.
  • “Minor” means any individual under eighteen (18) years of age. “Child” means any individual under thirteen (13) years of age.
  • “Prohibited Conduct” has the meaning set forth in Section 6 of these Terms.

3. Eligibility and Age Requirements

The Services are intended for individuals who are at least thirteen (13) years of age. By using the Services, you represent and warrant that you are at least 13 years old. Individuals under the age of 13 are prohibited from creating an Account or submitting any Personal Information through the Services, consistent with the Children’s Online Privacy Protection Act (COPPA), 15 U.S.C. §§ 6501–6506.

If you are a Minor between the ages of 13 and 17, you represent that your parent or legal guardian has reviewed and consented to these Terms on your behalf. ECFC reserves the right to terminate any Account it reasonably believes to be held by a person who does not meet the applicable age requirements.

4. User Accounts and Registration

  • 4.1 Accuracy of Information. To create an Account, you must provide accurate, current, and complete information as prompted during the registration process. You agree to maintain and promptly update your Account information to keep it accurate, current, and complete at all times. Submission of false, fraudulent, or misleading information constitutes a material breach of these Terms and may violate N.C. Gen. Stat. § 75-1.1 (Unfair and Deceptive Trade Practices).
  • 4.2 Account Security. You are solely responsible for maintaining the confidentiality of your Account credentials, including your password, and for all activity that occurs under your Account. You agree to immediately notify ECFC at ecfccharlotte@gmail.com upon becoming aware of any unauthorized access to or use of your Account. ECFC shall not be liable for any loss or damage arising from your failure to comply with this obligation.
  • 4.3 One Account Per Person. Each User may maintain only one registered Account. Creating multiple Accounts to circumvent a suspension, ban, or these Terms is prohibited and constitutes Prohibited Conduct.
  • 4.4 Non-Transferability. Your Account is personal to you and may not be assigned, sold, transferred, or sublicensed to any third party. Any such purported transfer is null and void.

5. Intellectual Property Rights in Club Content

All Club Content is the exclusive property of Everest Charlotte Football Club or its licensors and is protected by applicable copyright, trademark, trade dress, and other intellectual property laws of the United States and the State of North Carolina, including but not limited to 17 U.S.C. § 101 et seq. (Copyright Act) and 15 U.S.C. § 1051 et seq. (Lanham Act).

The ECFC name, crest, badge, wordmarks, and associated logos are trademarks of Everest Charlotte Football Club. Unauthorized use of any ECFC trademark in connection with any goods or services in a manner likely to cause confusion is expressly prohibited and may give rise to civil liability.

Subject to these Terms, ECFC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Club Content solely for your personal, non-commercial enjoyment of the Services. You may share Club Content for bona fide fan purposes (e.g., social media commentary, fan blogs) provided that you: (a) include clear attribution to ECFC; (b) do not alter or misrepresent the content; and (c) do not use the content in any manner that implies endorsement by ECFC of your views or products. Any commercial use, reproduction, modification, distribution, public display, or creation of derivative works from Club Content without ECFC’s prior written authorization is strictly prohibited.

6. Acceptable Use and Prohibited Conduct

As a condition of your access to the Services, you agree to use the Services only for lawful purposes and in a manner consistent with these Terms and all applicable federal, state, and local laws and regulations. You expressly agree that you will not engage in any of the following Prohibited Conduct:

  • 6.1 Post, upload, transmit, or otherwise disseminate any content that is unlawful, defamatory, libelous, obscene, pornographic, invasive of another’s privacy, harassing, threatening, abusive, hateful, discriminatory on the basis of race, color, religion, sex, national origin, disability, or any other protected characteristic under applicable federal or North Carolina law, or otherwise objectionable.
  • 6.2 Impersonate any natural person (including any ECFC player, coach, official, or staff member) or any legal entity, or falsely state or otherwise misrepresent your affiliation with ECFC or any person or entity, in a manner that could constitute fraud or identity deception under N.C. Gen. Stat. § 14-100.1 or applicable federal law.
  • 6.3 Access, tamper with, or attempt to gain unauthorized access to any restricted portion of the Services, ECFC’s servers or network infrastructure, or any Account other than your own, in violation of the Computer Fraud and Abuse Act, 18 U.S.C. § 1030, or N.C. Gen. Stat. § 14-453 et seq.
  • 6.4 Use any automated means, including bots, scrapers, crawlers, or data-mining tools, to access, collect, copy, or harvest data from the Services without ECFC’s prior written consent.
  • 6.5 Transmit unsolicited commercial electronic communications (spam), chain letters, pyramid schemes, or any other form of unauthorized advertising or solicitation.
  • 6.6 Interfere with, disrupt, or attempt to disable the integrity or performance of the Services or any server, network, or system connected thereto, including through denial-of-service attacks, introduction of malicious code, or any other disruptive means.
  • 6.7 Use the Services in any manner that violates any applicable federal, state, or local law, rule, regulation, or ordinance, including but not limited to laws governing export control, consumer protection, and unfair competition.

Conduct within ECFC fan and community spaces is additionally governed by our Code of Conduct, which is incorporated into these Terms by reference. In the event of a conflict between the Code of Conduct and these Terms, these Terms shall control.

7. User Content: License, Representations, and Warranties

7.1 Ownership. You retain all ownership rights in and to User Content that you submit to the Services, subject to the license granted below.

7.2 License Grant. By submitting, posting, uploading, or otherwise making available any User Content through the Services, you hereby grant ECFC a worldwide, irrevocable, perpetual, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, display, distribute, adapt, modify, publish, translate, and create derivative works from such User Content in connection with the operation, promotion, and improvement of the Services and ECFC’s official communications channels. This license survives the termination of your Account.

7.3 Representations and Warranties. By submitting User Content, you represent and warrant that: (a) you are the original creator of, or hold all necessary rights, licenses, consents, and permissions to submit and use, the User Content as described herein; (b) the User Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party; (c) the User Content does not contain any material that is defamatory, obscene, unlawful, or otherwise violates any applicable law or regulation; and (d) you have obtained the written consent of any identifiable individual depicted in any User Content you submit.

7.4 No Compensation. ECFC shall have no obligation to compensate you for any User Content or for ECFC’s exercise of the license rights described in Section 7.2.

8. Content Moderation and Account Enforcement

ECFC reserves the right, but assumes no obligation, to review, monitor, edit, remove, refuse to post, or disable access to any User Content or Account, at ECFC’s sole discretion, at any time and for any reason, including but not limited to User Content or conduct that ECFC determines, in its sole judgment, to violate these Terms, the Code of Conduct, or any applicable law.

In cases of first-time or minor violations, ECFC will, where reasonable and practicable, provide notice of the violation and an opportunity to cure. For serious, repeated, or willful violations — including but not limited to illegal content, harassment, credible threats of violence, or circumvention of a prior ban — ECFC may take immediate action without prior notice, including permanent account termination.

You may submit a written appeal of any enforcement action to ecfccharlotte@gmail.com. ECFC will review appeals in good faith but reserves the right to make final determinations in its sole discretion. ECFC’s moderation decisions do not create any liability to you.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ECFC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.

Without limiting the foregoing, ECFC does not warrant that: (a) the Services will be uninterrupted, error-free, or secure; (b) match information, fixture schedules, scores, or statistics published on the Services will be accurate, complete, or current at all times; or (c) any defects or errors will be corrected. Official competition results are governed solely by the applicable league, tournament, or sanctioning body, and the Services are not authoritative sources for official standings or outcomes.

Some jurisdictions do not allow the exclusion of implied warranties. To the extent such exclusions are prohibited by applicable North Carolina or federal law, the above disclaimers shall apply to the maximum extent permitted.

10. Limitation of Liability and Indemnification

10.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ECFC, ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ECFC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ECFC’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO ECFC IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).

10.2 Indemnification. You agree to defend, indemnify, and hold harmless ECFC and its officers, directors, employees, volunteers, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party rights, including intellectual property or privacy rights.

11. Third-Party Links and Services

The Services may contain hyperlinks to third-party websites or services that are not owned, operated, or controlled by ECFC. Such links are provided solely for informational convenience. ECFC does not endorse, review, or assume any responsibility for the content, privacy practices, or policies of any third-party sites. Your use of third-party sites is entirely at your own risk and subject to the terms and conditions of those sites. ECFC encourages you to review the terms and privacy policies of any third-party site you visit.

12. Termination

ECFC reserves the right to suspend or permanently terminate your Account and access to the Services, with or without notice and without liability to you, for any reason, including your breach of these Terms. Upon termination: (a) your license to use the Services immediately ceases; (b) ECFC may delete your Account and associated data in accordance with the Privacy Policy; and (c) provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 5 (Intellectual Property), 7 (User Content License), 9 (Disclaimers), 10 (Limitation of Liability), 13 (Governing Law), and 14 (Dispute Resolution).

You may terminate your Account at any time by submitting a deletion request in accordance with the Privacy Policy.

13. Amendments to These Terms

ECFC reserves the right to modify, amend, or update these Terms at any time in its sole discretion. All amendments shall become effective upon posting of the revised Terms to this page, with the “Last Updated” date revised accordingly. Where ECFC determines that an amendment is material, ECFC will endeavor to provide advance notice to registered Account holders by email or by a prominent notice on the Services no fewer than seven (7) days prior to the amendment becoming effective.

Your continued access to or use of the Services following the effective date of any amendment constitutes your acceptance of the amended Terms. If you do not agree to an amendment, you must cease all use of the Services prior to the effective date of such amendment.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without giving effect to any choice-of-law or conflict-of-law rules or provisions. Any legal action or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the state courts of Mecklenburg County, North Carolina, or the United States District Court for the Western District of North Carolina, Charlotte Division, and you hereby irrevocably submit to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue in such courts.

15. Dispute Resolution

15.1 Informal Resolution. Before initiating any formal legal proceeding, you agree to first contact ECFC at ecfccharlotte@gmail.com and provide a written description of the dispute, the relief sought, and your contact information. The parties agree to attempt to resolve the dispute informally for a period of thirty (30) calendar days from the date of the written notice.

15.2 Class Action Waiver. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found to be unenforceable, the entirety of this Section shall be null and void.

16. General Provisions

  • 16.1 Entire Agreement. These Terms, together with the Privacy Policy and Code of Conduct incorporated herein by reference, constitute the entire agreement between you and ECFC with respect to the Services and supersede all prior and contemporaneous agreements, representations, and understandings.
  • 16.2 Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
  • 16.3 Waiver. No failure or delay by ECFC in exercising any right, power, or privilege under these Terms shall constitute a waiver thereof. No single or partial exercise of any right shall preclude any other or further exercise thereof.
  • 16.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without ECFC’s prior written consent. ECFC may freely assign these Terms without restriction.
  • 16.5 No Third-Party Beneficiaries. These Terms are for the sole benefit of the parties hereto and do not create any third-party beneficiary rights.
